Terms and Conditions
1. Subject and Duration of the Agreement
- “Grind Web Studio” Ltd., registered at Sofia, Alexander Stamboliyski Blvd. 134, floor 5, with Unified Identification Code (UIC) 202662951, agrees to provide the Client with access to a mobile application connected to the Client’s online store through Shopify Marketplace for 12 months. The contract automatically renews for successive periods unless terminated by either party with prior notice.
- The Service Provider commits to delivering the mobile application within 30 days upon receiving all necessary materials from the Client, including:
- Logo
- Product images and descriptions
- Brand texts
- Access to the Client’s Shopify and developer accounts for App Store and Google Play deployment.
2. Price and Payment Terms
- The Client agrees to pay a monthly subscription fee based on the selected plan, along with a percentage-based transaction fee on the revenue generated through the mobile application. Payments are processed through Shopify’s billing system.
- Subscription payments are due upon billing by Shopify. Any unpaid balance may result in service suspension until full payment is received.
3. Rights and Obligations of the Service Provider
- The Service Provider is responsible for developing, maintaining, and ensuring the functionality of the mobile application according to agreed specifications.
- The Service Provider reserves the right to request necessary assistance from the Client, including technical support, approvals, and design feedback.
- Any requested modifications beyond the agreed-upon specifications may require additional charges.
4. Rights and Obligations of the Client
- The Client is responsible for providing timely feedback and materials to avoid project delays.
- The Client must ensure their Shopify store complies with Shopify’s policies and terms.
- The Client acknowledges that app performance and sales depend on their store’s configuration, products, and marketing efforts.
5. Warranties and Support
- The Service Provider guarantees the application will function as specified and will promptly address any technical defects reported by the Client.
- Critical technical issues will be addressed within 4 business hours during standard support hours (9:00 AM – 6:00 PM GMT+2).
- Non-critical feature modifications or improvements may be requested but will be scheduled based on availability and may incur additional charges.
6. Intellectual Property
- The Service Provider retains ownership of the mobile application’s source code and technology.
- The Client has a license to use the application for the duration of the agreement but does not acquire any ownership rights over the software.
- The Client retains ownership of all branding, images, and product-related content provided for the application.
7. Data Protection and Privacy
- The Service Provider complies with GDPR and other applicable data protection laws.
- Personal data processed through the app will be handled securely and only used for the operation of the service.
- The Client is responsible for ensuring their store’s compliance with data protection regulations.
8. Termination of Agreement
- Either party may terminate this agreement with a 30-day written notice.
- In case of non-payment, the Service Provider reserves the right to suspend access to the application.
- No refunds will be issued for prepaid periods upon early termination unless explicitly agreed otherwise.
9. Final Provisions
- Any modifications to this agreement must be documented in writing and agreed upon by both parties.
- The laws of the Republic of Bulgaria govern this contract.
- Any disputes arising from this agreement will be resolved through arbitration in Sofia, Bulgaria.
Appendix 1: Service Description
The BeyondCart mobile application provides a real-time shopping experience integrated with the Client’s Shopify store. It includes:
- Product catalog and checkout
- Push notifications and customer segmentation
- Sales analytics and business insights
- Customization options based on the selected plan
The Client acknowledges that third-party services (e.g., Shopify, Apple, Google) have their own terms and conditions that may affect the availability and functionality of the application.
